The FDA's Memorandum of Association


  1. The name of the Organization is the Foundation for Democratic Advancement.
  2. The Foundation for Democratic Advancement is a public non-profit, non-partisan organization.
  3. The registered office of the Organization is in Calgary, Alberta.
  4. The activities of the Organization are to be carried out in Canada and in any other country if such activities further the objectives of the Organization.
  5. The objects of the Organization are:
    1. to advance transparent and fair democratic processes wherever elections occur;
    2. to strenthen the voice of civil society;
    3. to support the plurality of democratic discourse;
    4. to support the participation of all groups in democratic society;
    5. to educate citizens on the advancement of democracy;
    6. to provide non-partisan recommendations on democratic advancement to relevant stakeholders in democratic society;
    7. to conduct audits which adhere to the Comptroller General of the USA, Government Audit Reporting Standards for performance audits and FDA methodologies, scales, and matrices.
    8. to act as a non-partisan advocate for the public in issues of democracy, governance, and elections;
    9. to generally promote the affairs of the Organization;
    10. to enter contracts to promote the objects of the Organization;
    11. to acquire by way of grant, gift, purchase, bequest, devise or otherwise, real and personal property and to use and apply such property to the realization of the objects of the Organization;
    12. to buy, own, hold, lease, mortgage, sell and convey such real and personal property as may be necessary to desirable in the carrying out of the objects of the Organization.
  6. The liability of the members is limited.
  7. All profits and income will used to promote the company's objectives. No dividends will be paid to members.
  8. Members undertake to contribute to the assets if it is wound up while they are members, or within a year to their leaving the company. This contribution is to be used to pay any debts and liabilities that the company has before they ceased to be members. The contribution is also to be used to pay any costs, charges, and expenses of winding-up, and for adjustment of the rights of the contributors. This amount may not exceed $1.00.
